Riverview Professional Services

Riverview Professional Services, Inc. was formed in 2002 to address the medical claims costs in conjunction with automobile no fault benefits through the use of medical cost containment practices. We believe that appropriate and effective management of personal injury treatment is important to our long-term success in the auto insurance industry. Riverview provides services relating to case management, medical treatment management, billing code review and compliance with pre-certification and decision point review.

Riverview deals with the providers of medical services to auto accident victims and screens requests for medical treatment to determine if it is frivolous, non-compliant or potentially fraudulent. Riverview pre-certifies all medically necessary services related to auto accident victims through qualified medical professionals and works on containing costs for its clients. We believe Riverview's approach leads to a more cost-efficient service for the management of medical treatment of auto accident victims and reduces claims expenses for its clients. Riverview also has a staff of in-house attorneys, allowing Riverview to handle claims-related litigation more efficiently and cost-effectively.

Riverview is also a third party claims administrator that provides claims handling services.

We believe that the unique and effective nature of Riverview's services will enable it to selectively expand its business and provide its services to additional third parties on a competitive fee for service basis.

National Atlantic Insurance Agency

In 1995, we formed our insurance agency subsidiary, National Atlantic Insurance Agency, Inc. NAIA is a full service insurance agency that provides agency services to Proformance's policyholders no longer serviced by their independent agents and policyholders who do not use the services of an independent agent. In addition, NAIA provides services to agents and/or policyholders acquired as part of our replacement carrier transactions, as well as National Atlantic Financial Corporation.

National Atlantic Financial Corporation

National Atlantic Financial Corporation oversees the financial interests of the National Atlantic Holdings subsidiaries. On November 7, 2003 we formed Mayfair Reinsurance Company Limited in Bermuda. It is classified as a Class 3 reinsurer and received its reinsurance license on December 19, 2003 from the Bermuda Monetary Authority. Mayfair does not reinsure business from Proformance
